Terms of Service

Last updated: 26 July 2026. By using this site or engaging Zoteflix, you agree to these terms.

1. About us

Zoteflix Private Limited is a company incorporated in India offering website, mobile app, software development and app-store publishing services.

2. Engagement

Every project is governed by a written proposal or Statement of Work (SoW) signed by both parties. The SoW lists scope, deliverables, timeline, milestones, payment schedule and any assumptions. These terms apply alongside the SoW; in case of conflict, the SoW prevails.

3. Fees and payments

  • Quoted fees are exclusive of GST unless stated otherwise.
  • Standard payment schedule: 40% advance, 30% at mid-milestone, 30% on delivery.
  • Invoices are due within 7 days. Late payments accrue interest at 1.5% per month.
  • Third-party costs (domains, hosting, app-store fees, plugins) are billed at actuals.

4. Client responsibilities

You will provide timely feedback, content, credentials and approvals needed to complete the work. Delays caused by pending inputs may shift the timeline and are not our responsibility.

5. Intellectual property

Upon full payment, the custom code and assets we build specifically for you transfer to you. We retain rights to reusable frameworks, libraries, know-how and pre-existing tools used to deliver the work.

6. Confidentiality

Both parties will keep confidential any non-public information shared during the engagement and use it only to deliver the project. NDAs can be signed on request.

7. Warranties and limitation of liability

We warrant that our services will be performed with reasonable skill and care. To the maximum extent permitted by law, our aggregate liability for any claim arising out of an engagement is limited to the fees paid by you for that engagement in the 6 months preceding the claim. We are not liable for indirect or consequential losses.

8. Termination

Either party may terminate an engagement with 14 days written notice. You will pay for work completed and any non-cancellable third-party costs incurred up to the termination date.

9. Governing law

These terms are governed by the laws of India. Courts at Jaunpur, Uttar Pradesh have exclusive jurisdiction over any dispute.
